Dua Associates, assisted QuEST Global Services-NA, INC. in its acquisition of Synapse Design Automation, INC. and its subsidiaries across various jurisdictions in South East Asia. Synapse Design Automation, INC. was engaged in the business of designing software for semiconductor chips and manpower deployment in this area of work. Synapse Design Automation, INC. has established subsidiaries and liaison offices in India, Vietnam, Malaysia and China. The Transaction was given effect by a combination of amalgamation and share transfer arrangements which involved various facets of transaction activities at each location.
The Transaction involved legal review and coordinated legal action across 5 (five) jurisdictions and assessment of the plan of action by taking into account the legal implications at each jurisdiction. Dua Associates, Advocates and Solicitors was the focal point for the transaction in their coordination with Squire Patton Boggs (US) LLP, Bu & Co Advocates and Solicitors (Malaysia) and DFDL Vietnam. This being a high value transaction also required the approval from the Committee on Foreign Investment in the United States.
